1. Introduction

Welcome to QuiwkSocial (“we”, “us”, “our”, or “QuiwkSocial”).

QuiwkSocial provides social community software that enables individuals and businesses to create, customize, and operate their own social networking websites and online communities.

These Terms of Service govern your access to and use of our website, software, products, licensing services, updates, documentation, and related support services.

By purchasing, downloading, installing, accessing, or using QuiwkSocial, you agree to these Terms. If you do not agree, you must not use our products or services.

2. Eligibility and Account Responsibility

You must have the legal capacity to enter into a binding agreement to purchase or use our products.

You agree to provide accurate information when creating an account or purchasing a license. You are responsible for maintaining the confidentiality of your account credentials and for activities conducted through your account.

If you purchase or use QuiwkSocial on behalf of a company or organization, you confirm that you have authority to bind that organization to these Terms.

3. Software License

Subject to your purchase and compliance with the applicable license terms, QuiwkSocial grants you a limited, non-exclusive, non-transferable license to install and use the software for the purposes permitted by your purchased license.

Your license may be subject to restrictions regarding the number of websites, installations, domains, users, or other usage limits specified on our website, checkout page, or applicable license agreement.

Unless expressly permitted by a separate written agreement, you may not:

  • Resell, redistribute, sublicense, or commercially distribute the software itself.
  • Share, publish, or transfer your license or software files to unauthorized parties.
  • Remove copyright notices, proprietary notices, or license enforcement mechanisms.
  • Reverse engineer, decompile, or disassemble the software, except to the extent permitted by applicable law.
  • Use the software for unlawful purposes or to infringe the rights of others.

Purchasing a license does not transfer ownership of the underlying software or its intellectual property to you.

4. Ownership and Intellectual Property

QuiwkSocial and its underlying software, source code, design elements, documentation, branding, and original materials are owned by or licensed to QuiwkSocial, subject to any third-party or open-source rights.

All rights not expressly granted under your license are reserved.

You retain ownership of content, branding, and materials that you independently create or upload to your own community website, subject to applicable third-party rights.

You are responsible for ensuring that you have the necessary rights to use any third-party themes, plugins, images, fonts, code, or other materials incorporated into your website.

5. Payments, Pricing, and Taxes

Prices, license fees, subscription charges, and included features will be disclosed at the time of purchase or in the applicable order.

You agree to pay the applicable charges and taxes associated with your purchase.

Unless otherwise stated in a specific refund policy or required by applicable law, payments are non-refundable once the software has been delivered or the license has been activated.

Any refund eligibility, trial period, renewal arrangement, or cancellation condition expressly published for your purchase will apply to that transaction.

You are responsible for any applicable taxes, duties, or government charges, except taxes imposed on our income.

6. Updates, Upgrades, and Support

The availability of software updates, major upgrades, technical support, and maintenance depends on your purchased license or service plan.

We may release updates to improve functionality, security, compatibility, or performance. We do not guarantee that every update will be compatible with all third-party extensions, customizations, hosting providers, or modified versions of the software.

You are responsible for maintaining backups before installing updates or making significant changes to your website.

We may modify, discontinue, or introduce features, provided that any applicable contractual commitments and legal obligations are respected.

7. Your Community Website and Its Users

QuiwkSocial is a software provider. Unless we expressly agree otherwise in writing, we do not operate, control, or moderate the independent community websites created by our customers.

You are solely responsible for your website’s operation, including:

  • Member registration, accounts, profiles, posts, comments, messages, images, videos, and other user-generated content.
  • Your website’s privacy policy, terms of use, community guidelines, and moderation procedures.
  • Obtaining any consents and permissions required for your processing of personal data.
  • Responding to requests from your members regarding their data and accounts.
  • Compliance with applicable privacy, consumer protection, intellectual property, content, cybersecurity, and other laws.
  • Selecting and managing hosting providers, backups, security controls, and third-party integrations.

You must not use QuiwkSocial to operate an unlawful service, distribute malicious software, facilitate fraud, infringe intellectual property, or engage in activities prohibited by applicable law.

8. Customizations and Third-Party Services

Your website may incorporate third-party software, APIs, payment gateways, hosting providers, plugins, themes, or integrations.

Such services may be governed by separate terms and privacy policies. We are not responsible for third-party services that we do not control.

Custom modifications may affect software functionality, support eligibility, security, and upgrade compatibility. Any paid customization or development service will be governed by the relevant project agreement or quotation.

9. Security and Backups

You are responsible for implementing appropriate security measures for your website and hosting environment, including secure credentials, software updates, access controls, and regular backups.

Although we may provide security updates or recommendations, we do not guarantee that any software will be entirely free from vulnerabilities, interruptions, or unauthorized access.

You should promptly investigate suspected security incidents affecting your website and take appropriate steps to protect your users and data.

10. Availability and Disclaimer of Warranties

To the maximum extent permitted by applicable law, QuiwkSocial is provided on an “as available” basis, subject to any express warranties or commitments made in writing.

We do not guarantee uninterrupted availability, error-free operation, compatibility with every hosting environment, specific business outcomes, or the success of any community website created using the software.

Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded under applicable law.

11. Limitation of Liability

To the maximum extent permitted by applicable law, QuiwkSocial will not be liable for indirect, incidental, special, or consequential losses, including loss of profits, revenue, business opportunities, goodwill, or data, arising from the use of our software.

Subject to applicable law and any express written agreement, our aggregate liability arising out of or relating to the relevant product or service will not exceed the amount paid by you to us for that product or service during the twelve months preceding the event giving rise to the claim.

These limitations do not apply to liabilities that cannot legally be limited or excluded.

12. Indemnification

To the extent permitted by law, you agree to be responsible for claims, losses, and reasonable expenses arising from your unlawful use of QuiwkSocial, your violation of these Terms, or your operation of a community website in breach of applicable law or third-party rights.

This clause does not require you to indemnify us for losses caused by our own unlawful conduct or liabilities that cannot lawfully be transferred to you.

13. Suspension and Termination

We may suspend or terminate a license or service where reasonably necessary due to a material breach of these Terms, unauthorized redistribution, fraudulent activity, security risks, or legal requirements.

Where appropriate and legally permitted, we will provide notice and an opportunity to remedy the breach.

Upon termination, your right to use the affected software or service will end in accordance with the applicable license terms. Termination does not automatically transfer or delete content stored on your own hosting infrastructure.

Any provisions intended by their nature to survive termination will continue to apply.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our products, business practices, or legal requirements.

The revised version will be published on our website with an updated date. Where required by law or contract, we will provide notice or obtain consent before changes take effect.

15. Governing Law and Disputes

These Terms are governed by the laws of India.

The parties will attempt to resolve disputes through good-faith discussions. Where a dispute cannot be resolved informally, it will be submitted to the competent courts in the jurisdiction applicable to our registered office, subject to applicable law and mandatory jurisdiction requirements.
